Algemene Voorwaarden - Algemene Bepalingen

  1. VOGELHOF – PARROTS & TOYS houdt zich bezig met de verkoop van handtamme vogels en alles wat nodig is voor de kweek (zaden en opfok voer), alsook voor het bezighouden van de vogel nadien (speelgoed en boomstandaarden).
  2. Deze algemene voorwaarden zijn van toepassing op alle gedragingen van VOGELHOF – PARROTS & TOYS, waaronder in ieder geval doch niet uitsluitend aanbiedingen van VOGELHOF – PARROTS & TOYS en overeenkomsten tussen VOGELHOF – PARROTS & TOYS en haar klanten.
  3. Afwijkingen van de algemene voorwaarden zijn slechts geldig indien deze schriftelijk en uitdrukkelijk tussen VOGELHOF – PARROTS & TOYS en de klant zijn overeengekomen.
  4. De toepasselijkheid van eventuele inkoop- en andere voorwaarden van de klant wordt uitdrukkelijk van de hand gewezen.
  5. Het nalaten door VOGELHOF – PARROTS & TOYS op enig moment nakoming van één of meer bepalingen uit de overeenkomst, daaronder begrepen de bepalingen in deze algemene voorwaarden, te verlangen, tast in generlei opzicht de rechten van VOGELHOF – PARROTS & TOYS aan om op een later tijdstip alsnog nakoming door klant te eisen.

 

Algemene Voorwaarden - Prijzen En Betaling

  1. Alle door VOGELHOF – PARROTS & TOYS opgegeven prijzen zijn inclusief BTW en andere heffingen welke van overheidswege worden opgelegd, tenzij uitdrukkelijk anders wordt vermeld. Betalingen dienen inclusief BTW en/of andere heffingen te geschieden.
  2. De prijzen gelden slechts voor de in de overeenkomst met name genoemde goederen, diensten en werken. Alle in aanvulling daarop door VOGELHOF – PARROTS & TOYS geleverde goederen, verrichte werken en/of verleende diensten zullen afzonderlijk in rekening worden gebracht tegen prijzen zoals die op de dag van levering c.q. dienstverlening gelden.
  3. Door VOGELHOF – PARROTS & TOYS opgegeven prijzen zijn gebaseerd op de ten tijde van opgave geldende inkoopprijzen, belastingen en andere dergelijke factoren.
  4. Alle facturen zullen door de klant worden betaald volgens de overeengekomen en op de factuur vermelde betalingscondities. Bij gebreke van zulke condities dient de klant binnen 14 dagen na factuurdatum te betalen.
  5. Indien klant de verschuldigde bedragen niet binnen de overeengekomen termijn betaalt, is de klant van rechtswege in verzuim en zal klant, onverminderd haar overige verplichtingen, over het openstaande bedrag de wettelijke rente verschuldigd zijn.
  6. Kosten van invordering, zowel gerechtelijk als buitengerechtelijk, zijn voor rekening van de klant, zulks met een minimum van € 250,--.
  7. Door de klant gedane betalingen strekken steeds ter voldoening in de eerste plaats van alle verschuldigde rente en kosten en in de tweede plaats van opeisbare facturen die het langst openstaan.

 

Algemene Voorwaarden - Reclamatie

  1. Indien de klant bezwaar heeft tegen een factuur, dient zij uiterlijk 8 dagen na factuurdatum schriftelijk te reclameren, bij gebreke waarvan elke aanspraak van de klant jegens VOGELHOF – PARROTS & TOYS vervalt.
  2. Reclamatie schort de verplichtingen van klant niet op.
  3. Om hygiënische redenen en om gezondheidsproblemen in verband met dierenwelzijn, kunnen verkochte goederen niet geruild of teruggestuurd worden.

 

Algemene Voorwaarden - Overmacht

  1. Indien als gevolg van overmacht, waaronder wordt verstaan een omstandigheid die de nakoming van de overeenkomst verhindert en niet aan VOGELHOF – PARROTS & TOYS is toe te rekenen, nakoming door VOGELHOF – PARROTS & TOYS zonder tekortkoming niet mogelijk zal zijn, heeft zij het recht de overeenkomst geheel of gedeeltelijk te beëindigen, dan wel de uitvoering van de overeenkomst tijdelijk op te schorten, zonder tot enige schadevergoeding gehouden te zijn.
  2. Onder overmacht wordt in ieder geval doch niet uitsluitend begrepen stakingen en ziekte van het personeel, bedrijfsstoring, maatregelen van overheidswege en vervoersstoringen, een en ander zowel indien deze voorkomen bij VOGELHOF – PARROTS & TOYS als bij haar toeleveranciers.
  3. Indien VOGELHOF – PARROTS & TOYS voor het intreden van overmacht al gedeeltelijk aan haar verplichtingen heeft voldaan, of door het intreden van overmacht slechts gedeeltelijk aan haar verplichtingen zal kunnen voldoen, is zij gerechtigd het reeds geleverde c.q. het leverbare deel afzonderlijk te factureren en is de klant gehouden deze factuur te voldoen als betrof het een afzonderlijke overeenkomst.
  4. VOGELHOF – PARROTS & TOYS heeft ook het recht om zich op overmacht te beroepen, indien de niet toerekenbare omstandigheid die de nakoming van haar verbintenis verhindert, eerst intreedt nadat zij aan haar verplichting had moeten voldoen.

 

Algemene Voorwaarden - Aansprakelijkheid

  1. Buiten de in dit artikel genoemde gevallen aanvaardt VOGELHOF – PARROTS & TOYS geen enkele aansprakelijkheid voor schade.
  2. Aansprakelijkheid van VOGELHOF – PARROTS & TOYS voor indirecte schade, waaronder begrepen gevolgschade, gederfde winst, gemiste besparingen en schade door bedrijfsstagnatie, is te allen tijde uitgesloten.
  3. VOGELHOF – PARROTS & TOYS is niet aansprakelijk indien een tekortkoming het gevolg is van overmacht.
  4. De in dit artikel opgenomen beperkingen gelden niet indien de schade het gevolg is van opzet of grove schuld van VOGELHOF – PARROTS & TOYS of haar leidinggevende ondergeschikten.

 

Algemene Voorwaarden - Vrijwaring

  1. De klant vrijwaart VOGELHOF – PARROTS & TOYS tegen alle mogelijke aanspraken van derden die zijn ontstaan door niet-nakoming door de klant van de ingevolge een overeenkomst en deze algemene voorwaarden op de klant rustende verplichtingen.
  2. De klant vrijwaart VOGELHOF – PARROTS & TOYS verder ter zake van aanspraken van derden met betrekking tot schade ontstaan in verband met de uitvoering van een opdracht.

 

Algemene Voorwaarden - Geschillen En Toepasselijk Recht

  1. Alle geschillen, die niet in der minne tussen partijen kunnen worden beslecht, zullen worden beslecht door de bevoegde rechter te Antwerpen.
  2. Overeenkomsten tussen VOGELHOF – PARROTS & TOYS en de klant worden beheerst door het Belgisch recht.

Conditions générales - Dispositions générales

1. VOGELHOF – PARROTS & JOUETS                     s'occupe de la vente d'oiseaux                         apprivoisés et de tout ce qui est                     nécessaire à l'élevage (graines et                     nourriture d'élevage), ainsi qu'à                       l'occupation de l'oiseau par la suite                 (jouets et supports d'arbres).
2. Les présentes conditions générales                 s'appliquent à tous les comportements         de VOGELHOF – PARROTS & TOYS, y               compris, mais sans s'y limiter, les offres         de VOGELHOF – PARROTS & TOYS et les         accords entre VOGELHOF – PARROTS &         TOYS et ses clients.
3. Les dérogations aux conditions                       générales ne sont valables que si elles           ont été  expressément convenues par           écrit entre VOGELHOF – PARROTS &               TOYS et le client.
4. L'applicabilité de tout achat et autres            conditions du client est expressément          rejetée.
5. Le défaut par VOGELHOF – PARROTS &          TOYS d'exiger à tout moment le respect        d'une ou plusieurs dispositions du                  contrat, y compris les dispositions des          présentes conditions générales,                      n'affectera en rien les droits de                        VOGELHOF – PARROTS & TOYS d'agir à          un date ultérieure, il est encore temps          d'exiger la conformité du client.


Conditions générales - Prix et paiement

1. Tous les prix indiqués par VOGELHOF –        PARROTS & TOYS incluent la TVA et les          autres prélèvements imposés par le              gouvernement, sauf indication contraire      expresse. Les paiements doivent être            effectués TVA et/ou autres prélèvements      compris.
2. Les prix ne s'appliquent qu'aux biens,            services et travaux nommément                      mentionnés dans le contrat. Tous les              biens supplémentaires livrés, les travaux      exécutés et/ou les services rendus par          VOGELHOF – PARROTS & TOYS seront            facturés séparément aux prix applicables      au jour de la livraison ou de la prestation.
3. Les prix indiqués par VOGELHOF –                  PARROTS & TOYS sont basés sur les prix        d'achat, les taxes et autres facteurs                applicables au moment de la déclaration.
4. Toutes les factures seront payées par le        client selon les conditions de paiement          convenues indiquées sur la facture. En          l'absence de telles conditions, le client          doit payer dans les 14 jours suivant la            date de facturation.
5. Si le client ne paie pas les sommes dues        dans le délai convenu, le client sera en          défaut de plein droit et le client sera              redevable des intérêts légaux sur le                montant restant dû, sans préjudice de          ses autres obligations.
6. Les frais de recouvrement, tant                      judiciaires qu'extrajudiciaires, sont à la          charge du client, avec un minimum de          250,00 €.
7. Les paiements effectués par le client               servent toujours en premier lieu à régler       tous les intérêts dus


Conditions générales - Réclamations

1. Si le client s'oppose à une facture, il doit        introduire une réclamation écrite au plus      tard 8 jours après la date de la facture,          faute de quoi toute réclamation du client      contre VOGELHOF – PARROTS & TOYS            deviendra caduque.
2. Les réclamations ne suspendent pas les        obligations du client.
3. Pour des raisons d'hygiène et des                  problèmes de santé liés au bien-être              animal, les marchandises vendues ne            peuvent être ni échangées ni retournées.


Conditions générales - Force majeure

1. Si, en raison d'un cas de force majeure,        c'est-à-dire une circonstance qui                    empêche l'exécution du contrat et ne            peut être imputée à VOGELHOF –                    PARROTS & TOYS, exécution par                      VOGELHOF – PARROTS & TOYS sans              échec ne sera pas possible, ils ont le              droit de résilier l'accord en tout ou en            partie, ou de suspendre temporairement      l'exécution de l'accord, sans être tenus          de verser une quelconque indemnité.
2. La force majeure comprend en tout état      de cause, mais pas exclusivement, les            grèves et les maladies du personnel, les        faillites d'entreprise, les mesures                    gouvernementales et les perturbations          des transports, tout cela si ceux-ci                  surviennent chez VOGELHOF – PARROTS      & TOYS et chez ses fournisseurs.
3. Si VOGELHOF – PARROTS & TOYS a déjà        partiellement rempli ses obligations              avant la survenance du cas de force              majeure, ou si VOGELHOF – PARROTS &        TOYS ne peut que partiellement remplir        ses obligations en raison de la                          survenance du cas de force majeure, il          est en droit de facturer séparément les        livré ou la partie livrable et le client est          tenu de payer cette facture comme s'il          s'agissait d'un accord séparé.
4. VOGELHOF – PARROTS & TOYS a                    également le droit d'invoquer la force            majeure si la circonstance non imputable      qui empêche l'exécution de son                      obligation ne survient qu'après qu'elle          aurait dû remplir son obligation.


Conditions générales - Responsabilité

1. En dehors des cas mentionnés dans cet         article, VOGELHOF – PARROTS & JOUETS       décline toute responsabilité en cas de           dommages.
2. La responsabilité de VOGELHOF –                  PARROTS & TOYS pour les dommages            indirects, y compris les dommages                  consécutifs, le manque à gagner, la perte      d'économies et les dommages dus à une       interruption d'activité, est exclue à tout         moment.
3. VOGELHOF – PARROTS & TOYS n'est pas      responsable si un manquement résulte        d'un cas de force majeure.
4. Les limitations incluses dans cet article          ne s'appliquent pas si le dommage est le      résultat d'une intention ou d'une                    négligence grave de la part de                          VOGELHOF – PARROTS & TOYS ou de ses      subordonnés dirigeants.


Conditions générales - Indemnité

1. Le client garantit VOGELHOF – PARROTS        & TOYS contre toutes les réclamations          éventuelles de tiers qui seraient nées du      fait du non-respect par le client des                obligations qui incombent au client en          vertu d'un contrat et des présentes                conditions générales.
2. Le client garantit en outre VOGELHOF –         PARROTS & TOYS contre les prétentions       de tiers concernant les dommages                 résultant de l'exécution d'une mission.


Conditions générales - Litiges et droit applicable

1. Tous les litiges qui ne peuvent être                réglés à l'amiable entre les parties seront      tranchés par le tribunal compétent                d'Anvers.
2. Les accords entre VOGELHOF – PARROTS      & TOYS et le client sont régis par le droit        belge.

General Terms and Conditions - General Provisions

1. VOGELHOF – PARROTS & TOYS deals             with the sale of tame birds and                       everything necessary for breeding                 (seeds and rearing food), as well as for         the occupation of the bird afterwards           (toys and tree stands).
2. These general terms and conditions               apply to all behavior of VOGELHOF –             PARROTS & TOYS, including in any case         but not limited to offers from                           VOGELHOF – PARROTS & TOYS and               agreements between VOGELHOF –                 PARROTS & TOYS and its customers.
3. Deviations from the general terms and          conditions are only valid if they have              been expressly agreed in writing                    between VOGELHOF – PARROTS & TOYS        and the customer.
4. The applicability of any purchase and            other conditions of the customer is                expressly rejected.
5. Failure by VOGELHOF – PARROTS &                TOYS at any time to demand compliance      with one or more provisions of the                agreement, including the provisions in          these general terms and conditions, will        in no way affect the rights of VOGELHOF      – PARROTS & TOYS to take action at a            later date. time to still demand                        compliance by the customer.


General Terms and Conditions - Prices And Payment

1. All prices stated by VOGELHOF –                    PARROTS & TOYS include VAT and other        levies imposed by the government,                unless expressly stated otherwise.                  Payments must be made including VAT        and/or other levies.
2. The prices only apply to the goods,                 services and works mentioned by name       in the agreement. All additional goods           delivered, works performed and/or               services rendered by VOGELHOF –                 PARROTS & TOYS will be charged                   separately at prices applicable on the           day of delivery or service.
3. Prices stated by VOGELHOF – PARROTS        & TOYS are based on purchase prices,          taxes and other such factors applicable        at the time of the statement.
4. All invoices will be paid by the customer        according to the agreed payment                    conditions stated on the invoice. In the          absence of such conditions, the                      customer must pay within 14 days of the      invoice date.
5. If the customer does not pay the                    amounts due within the agreed term,            the customer will be in default by                  operation of law and the customer will          owe statutory interest on the                          outstanding amount, without prejudice        to its other obligations.
6. Costs of collection, both judicial and              extrajudicial, are for the account of the        customer, with a minimum of € 250.00.
7. Payments made by the customer always      firstly serve to settle all interest and              costs owed and secondly to pay due and      payable invoices that have been                      outstanding the longest.


General Terms and Conditions - Complaints

1. If the customer objects to an invoice, it          must submit a written complaint no later      than 8 days after the invoice date, failing      which any claim of the customer against      VOGELHOF – PARROTS & TOYS will lapse.
2. Complaints do not suspend the                      obligations of the customer.
3. For hygienic reasons and health                      problems related to animal welfare, sold      goods cannot be exchanged or returned.


General Terms and Conditions - Force majeure

1. If, ​​as a result of force majeure, which is        understood to mean a circumstance that      prevents the fulfillment of the                          agreement and cannot be attributed to        VOGELHOF – PARROTS & TOYS,                      fulfillment by VOGELHOF – PARROTS &          TOYS without failure will not be possible,      they have the right to terminate the              agreement in whole or in part, or to              temporarily suspend the performance of      the agreement, without being obliged to      pay any compensation.
2. Force majeure includes in any case, but        not exclusively, strikes and illness of              staff, business failure, government                measures and transport disruptions, all        this if these occur at VOGELHOF –                  PARROTS & TOYS and at its suppliers.
3. If VOGELHOF – PARROTS & TOYS has            already partially fulfilled its obligations          prior to the occurrence of force majeure,      or if VOGELHOF – PARROTS & TOYS can        only partially fulfill its obligations due to        the occurrence of force majeure, it shall        be entitled to separately invoice the              already delivered or the deliverable part      and the the customer is obliged to pay          this invoice as if it concerned a separate      agreement.
4. VOGELHOF – PARROTS & TOYS also has        the right to invoke force majeure if the          non-attributable circumstance that                prevents the fulfillment of its obligation        only occurs after it should have fulfilled        its obligation.


General Terms and Conditions - Liability

1. Apart from the cases mentioned in this        article, VOGELHOF – PARROTS & TOYS          does not accept any liability for damage.
2. Liability of VOGELHOF – PARROTS &              TOYS for indirect damage, including              consequential damage, lost profit, lost          savings and damage due to business            interruption, is excluded at all times.
3. VOGELHOF – PARROTS & TOYS is not            liable if a shortcoming is the result of            force majeure.
4. The limitations included in this article do      not apply if the damage is the result of          intent or gross negligence on the part of      VOGELHOF – PARROTS & TOYS or its              managerial subordinates.


General Terms and Conditions - Indemnity

1. The customer indemnifies VOGELHOF –        PARROTS & TOYS against all possible            claims from third parties that have                arisen due to non-compliance by the            customer with the obligations resting on      the customer under an agreement and        these general terms and conditions.
2. The customer further indemnifies                  VOGELHOF – PARROTS & TOYS against          claims from third parties with regard to        damage arising in connection with the          execution of an assignment.

 

General Terms and Conditions - Disputes and Applicable Law

1. All disputes that cannot be settled                  amicably between the parties will be              settled by the competent court in                  Antwerp.
2. Agreements between VOGELHOF –                PARROTS & TOYS and the customer are        governed by Belgian law.
